The Toronto Stock Exchange and the TSX Venture Exchange are the leading stock markets in the world for mining companies, with 90% of all global equity financings being undertaken on one of those exchanges in 2011. Many significant mining companies are incorporated or headquartered in British Columbia and, as such, are regulated by the British Columbia Securities Commission, with whom Farris lawyers regularly interact.  We are well attuned to the current issues facing the mining industry.
We regularly advise on public and private debt and equity financings, mergers and acquisitions, reorganizations, mining asset sales, joint venture and partnership agreements, project and structured financings, securities law and stock exchange compliance, disclosure requirements including National Instrument 43-101, corporate governance, shareholder matters, proxy battles, environmental matters and general litigation.  In addition, we also do British Columbia mineral tenure and title work. We act for Copper Mountain Mining Corporation with respect to all of its legal matters.  In 2011 Copper Mountain opened the first mine in British Columbia in over a decade.  Our work with Copper Mountain has included:
  • negotiating and formalizing its strategic alliance with Mitsubishi Materials Corporation,
  • a series of public financings,
  • a $162 million senior credit facility and
  • a $160 million subordinated loan facility.
We act for Copper Fox Metals Inc. with respect to all of its legal matters.  Copper Fox is developing the Schaft Creek Mineral Deposit located in NW British Columbia, one of the largest undeveloped copper porphyry polymetalic deposits in North America.  Our work with Copper Fox has included:
  • multiple financings in excess of $20 million in 2011, and
  • acquisitions of mineral tenures adjacent to the Schaft Creek Mineral Deposit.
We act for PolyMet Mining Corporation in connection with all of its Canadian legal matters, which have included a strategic marketing agreement with Glencore AG, as well as several debt and equity offerings involving Glencore AG aimed at financing the development of its copper/nickel/precious-metals project in Minnesota.
In addition we have acted on the following matters:
  • Acted for Potash One Inc. in connection with a $434 million negotiated cross-border cash take-over bid made by K+S Aktiengesellshaft for the Legacy Project, a US$2.5 billion project to develop the first new potash mine in Saskatchewan in 40 years.
  • Acted for TNR Gold Corp. and its subsidiary, Solitario Argentina S.A., in litigation against MIM Argentina Exploraciones S.A., a subsidiary of the Xstrata Group in connection with back-in rights in a letter of understanding.
  • Acted for Kinross Gold Corporation in its second step plan of arrangement of Underworld Resources Inc.
  • Acted in the acquisition of Ashton Mining of Canada by Stornoway Diamond Corporation.
  • Acted in the $37.5 million bridge financing to Pine Valley Mining Inc. by Brookfield Bridge Lending Fund Inc.
  • Acted as counsel to White Knight Resources Ltd. in connection with the $100 million unsolicited cross-border takeover bid of White Knight Resources Ltd. by US Gold Corporation.
  • Acted as counsel to Idemitsu Uranium Exploration with respect to structuring and negotiating the joint venture governing the Cigar Lake project in Northern Saskatchewan, now the world’s second largest high grade uranium deposit.
  • Acted as counsel to the Board of Directors of Goldcorp Inc. in transaction with Barrick Inc. and Placer Dome Inc.
  • Acted as counsel to the special committee of the Board of Wheaton River Minerals Ltd. in connection with successfully defending the hostile bid by Coeur d’Alene Mines Ltd. and, subsequently, the successful merger with Goldcorp Inc.
  • Acted in the acquisition by Pan Pacific Copper Corp. of Regalito Copper Corp. by way of takeover bid.

Vallenar,  veinticuatro de Mayo de dos mil doce


         A la hora señalada en autos se lleva a efecto la audiencia de exhibición de documentos decretada para el día de hoy con asistencia de la parte demandante REPRESENTADA POR EL ABOGADO DON JUAN GUILLERMO TORRES FUENTEALBA Y DE LA PARTE DEMANDADA REPRESENTADA POR EL ABOGADO DON DANIEL CARVALLO MONTES, QUIENES EXPONEN:
         Que respecto a los documentos signados con los Números:
1.- Sentencias constitutivas  de las concesiones mineras denominadas Tesoro 1 al 12, a nombre de  CIA. Minera Nevada, no existen; sin perjuicio de eso, la parte demandada acompaña escritos presentados en los expedientes de tramitación de las concesiones Tesoro en las que el titular de las manifestaciones Héctor Unda Llanos, indica haber actuado en esos autos a petición de Cia.Minera Nevada, su empleadora, reconociendo además que transferiría esas pertenencias a dicha empresa una vez que sean constituidas. Exhibe en este acto las copias certificadas  de dichos escritos y hace entrega de copias simple a la contraparte.
2.- No existen, por las razones ya aludidas. No se exhibe porque figuran inscritos en el Conservador de Minas a nombre de Héctor Unda Llanos.
3.-Debido a que dicho mandato se celebro en forma consensual y no escriturado, no existen copias físicas del contrato. No obstante se exhibe para estos efectos una declaración jurada notarial  en que comparece don Héctor Unda Llanos  declarando sobre su relación con CIA. Minera Nevada, declarando además haber celebrado un contrato de mandato consensual para la tramitación y constitución de las concesiones Tesoro 1 a 12 con CIA. Minera Nevada determinando sus términos y condiciones y explicando los motivos del porque no se ha realizado la rendición de cuentas para transferir la titularidad de las concesiones minera Tesoro a nombre de CIA Minera Nevada. Dichos motivos, pese  constar en el documento referido, se deben a la existencia de una medida cautelar prejudicial trabada sobre las concesiones Tesoro en autos rol 1.912-2001 seguidos ante el 14° Juzgado de Letras  Civil de Santiago. Hace entrega en este acto de copia autorizada a la contraparte además de acompañar una copia autorizada al Tribunal.,
                                                     158 ciento cincuenta y ocho.-
         El demandante expresa que sin perjuicio de lo expuesto y de los documentos exhibidos por la contraria de autos y teniendo en consideración Sentencias constitutivas de concesión minera de explotación denominadas Tesoro 1 1n al 30, a tesoro 12 1 al 5, certificados de dominio vigentes extendidos por el Conservador De Minas de Vallenar, respecto de las mismas pertenencias mineras, ambos documentos a nombre de Minera Nevada Sociedad por acciones y el contrato de mandato, en el caso de no existir los anteriores celebrado entre la demandada y el Sr. Héctor Unda Llanos., cuyo objeto sería la constitución de las pertenencias mineras antes descritas a nombre de Minera Nevada.
Atendido a que no se exhibieron dichos instrumentos habiendo sido requeridos en atención de que al misma demandada se atribuye la calidad de dueños de las pertenencias mineras amarillo 1 al 3.000 y Tesoro 1 al 12  es que vengo en solicitar se aperciba a la demandada   de conformidad a lo dispuesto en el artículo 349 inciso tercero del Código de Procedimiento Civil, esto es, con arresto a  los representantes legales de la demandada hasta dos meses inclusive o el tiempo que Ssa. Estime prudente, sin perjuicio de repetir la orden y el apercibimiento y de igual manera se apercibe para que se encuentre impedida el derecho de hacerlos valer con posterioridad si los tuviere, en atención a lo prescrito en los artículos 274 y 277 del Código de Procedimiento Civil.
         La parte demandada expresa que habiéndose ya indicado los motivos por los cuales dichos documentos no se encuentran en poder de mi representada por cuanto no existen, constituyendo ello justa causa para no realizar la exhibición, solicito sea rechazada íntegramente la solicitud del demandante con costas.

         Con lo actuado se pone término a la diligencia la que firman los comparecientes previa ratificación y firma con el Tribunal.
